Terms of Service.

Alphamodo is a spatial capture studio. We capture properties using mobile LiDAR and Gaussian splatting, process the result, and deliver it as a branded 3D walkthrough hosted at a URL on a domain we operate. Specific deliverables — capture, floor plan, annotation pins, hosting term, walk mode, renovation timeline — depend on the plan you select at booking.

The Service is offered to professional users (real-estate agents, short-term rental hosts, contractors, venue operators, and similar) and is not intended for personal or household consumer use.

Prices listed on alphamodo.com are flat per-tour amounts in US dollars, exclusive of state and local taxes where applicable. By submitting a booking request you make an offer to engage our services; we accept that offer when we confirm a scan window in writing. Pricing for additional services — re-captures, custom hosting, additional annotations beyond the included count, custom domain, advanced floor plans — is quoted before performance.

You represent and warrant that:

• You have the legal right to permit us to enter, occupy, and capture the property described in your booking.
• You have informed any household members, occupants, tenants, or staff who will be present during the scan.
• You have authority to grant the license described in Section 7 (Capture content and license).
• Anything you do not want captured (mail, personal documents, screens, photographs of identifiable individuals) has been removed, covered, or pointed out before we begin.

We are not responsible for disputes between you and a property owner, occupant, or co-listing agent about who authorized the scan. If a dispute about authorization arises mid-capture, we may stop the capture and the booking fee remains earned to the extent of work performed.

• Cancel for any reason up to twenty-four (24) hours before the scheduled scan window: full refund.
• Cancellation inside twenty-four (24) hours: fifty percent (50%) of the booking fee is retained to compensate for the held capture slot. The remainder is refunded.
• Once we have arrived on site, the booking fee is fully earned, regardless of whether you elect to proceed.
• If we are unable to capture due to a quality issue on our end (equipment failure, weather closing the site outside our control, scheduling error), we will reschedule at no charge or refund in full at your option.

We deliver the spatial capture as a hosted URL on alphamodo.com within twelve to twenty-four (12–24) hours of capture for standard residential interiors, longer for unusually large or complex scenes (we will tell you in advance). The hosted URL is the deliverable. If you require a downloadable file format (.compressed.ply, .splat, OBJ-style mesh export), ask before booking — additional fees may apply.

You may embed the URL in any platform that accepts an iframe or link to a Virtual Tour, including but not limited to Zillow, Realtor.com, Bright MLS, and your own site or brokerage CMS.

You agree not to (a) use the Service to capture a property you do not have authority to permit access to, (b) attempt to reverse-engineer or reproduce the underlying capture pipeline, (c) resell or sublicense the deliverable to a third party without our written consent, or (d) use the Service to harass or invade the privacy of any individual.

You retain ownership of your property and any privately identifiable content within it. We retain ownership of our capture pipeline, processing software, and the bundled viewer experience.

By engaging the Service, you grant us:

• A non-exclusive, royalty-free license to capture, process, host, and deliver the spatial tour as agreed in your booking — for the duration of your hosting plan.
• A non-exclusive, royalty-free license to display still images and short clips of the deliverable in our portfolio and marketing materials, for the longer of (i) the duration of your hosting plan or (ii) five (5) years from delivery. You may opt out of this portfolio license at booking by selecting 'Private capture' in the booking notes; in that case, no images of the property will appear outside the tour URL itself.

On written request, we will blur or omit reasonable identifying details (street numbers visible in exteriors, distinctive interior contents) before any portfolio use. The portfolio license does not include using your name, brokerage, or branded marks without separate written consent.

Each per-tour plan includes a defined hosting term (thirty days for the Capture plan, ninety days for the Listing plan). After expiry, we will email a renewal offer at $99 per year per tour. If you do not renew within thirty (30) days of expiry, the tour will be taken offline; you may request a re-host within a further sixty (60) days for the renewal fee. After ninety (90) days post-expiry, the tour is deleted from our systems.

The Agent SaaS plan includes unlimited active hosting for the duration of an active subscription. Tours under that plan are taken offline within thirty (30) days of subscription cancellation.

Invoices are payable on delivery via Stripe (card or ACH) unless otherwise agreed in writing. Past-due invoices accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. We reserve the right to take the hosted tour offline for invoices unpaid more than thirty (30) days past due, after written notice.

We will perform the Service with reasonable skill and care consistent with industry practice for spatial capture studios.

The cap above does not apply to (a) our gross negligence or willful misconduct, (b) bodily injury caused by us during on-site capture, or (c) our indemnification obligations under these terms. We exercise reasonable care during all on-site work.

You will defend, indemnify, and hold us harmless from claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from:

• Your breach of Section 3 (Property access and authority).
• Content you provide for inclusion in the tour (logos, descriptions, brand assets) infringing a third party's rights.
• Your misuse of the deliverable, including use beyond the licenses granted in Section 7.
• Your violation of applicable law in connection with the Service.

We may suspend or terminate the Service for non-payment, abusive conduct, or any material violation of these terms, after written notice and a reasonable opportunity to cure where the breach is curable. You may terminate by ceasing to use the Service. Termination does not relieve you of any payment obligations accrued before termination.

These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Subject to Section 15 (Arbitration), the exclusive venue for any judicial proceeding is the state or federal courts located in Natrona County, Wyoming, except either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Any dispute, claim, or controversy arising out of or relating to these terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by a single arbitrator, on an individual (not class or representative) basis. The seat of arbitration is Casper, Wyoming, and the language is English. Either party may bring qualifying claims to small-claims court instead, on an individual basis.

You may opt out of this arbitration provision within thirty (30) days of first agreeing to these terms by emailing hello@alphamodo.com with the subject “Arbitration opt-out” and your full name. Opt-out does not affect any other provision of these terms.

We may update these terms by posting a revised version with a new “Last updated” date. Material changes will be highlighted at the top of the page; if you continue to use the Service after the effective date, you accept the revision. For changes that materially reduce your rights, we will provide reasonable advance notice and a meaningful opportunity to decline.

These terms, together with the Privacy Policy and any signed statement of work, constitute the entire agreement between you and Alphamodo regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
